USER AGREEMENT

PLEASE READ THIS USER AGREEMENT CAREFULLY BEFORE

USING THE MUSIC WORLD CUP® SITE AND/OR PARTICIPATING IN ANY WAY IN THE MUSIC WORLD CUP® INTERNATIONAL MUSIC TALENT COMPETITION

 

By using our site and/or participating in and/or interacting with the MUSIC WORLD CUP® International Music Talent Competition (referred to as “the Competition”) in any way, you confirm that you accept this User Agreement and that you will comply with it.

 

If you do not agree to this User Agreement, you must not use our site and/or participate in the Competition in any way.

This User Agreement is written in English. Should any translation of this User Agreement conflict with the English version, the English version will prevail.

 

1. TERMS OF USE

1.1. This User Agreement together with all documents referred to in it (including without limitation, the Acceptable Use Policy, Privacy Policy, Cookies Policy, and Competition Rules (which are collectively referred to as our “terms of use”) tell you the terms on which you may make use of our site and/or platform and/or services, and/or participate in any way in the Competition, including via our website www.musicworldcup.com and all other channels, via personal computer, mobile, web, wireless console, desktop and any other technology or device and/or any other applications (including for example Google Android and Apple iOS apps) and/or via third party sites or links (including social media sites) (collectively referred to as “our site”).

1.2.  This User Agreement applies to all users of our site. A “user” means anyone who uses our site, including “Artists” (meaning anyone who wishes to enter the Competition) and/or “Voters” (meaning anyone who registers with our site and wishes to participate in or interact with the Competition, including by voting for any Competition Entry or Entries). Use of our site includes accessing, browsing, posting, uploading and/or registering to use our site and/or participating in any way in the Competition.

1.3.  Please note that your use of our site via third party media (including without limitation via mobile / tablet apps and/or via third party sites or links), and your use of any third party’s services via our site (including without limitation YouTube, Facebook, Instagram, Twitter, Snapchat, Paypal, Boku, and/or Adyen), may be subject to separate terms and conditions as required and provided by the relevant third party(ies). You are responsible for reviewing these, and you make use of any such third party media and/or services at your own risk.

1.4.  In the event that you breach any of the terms of use or the spirit of these terms of use or act in any other way which we, in our sole discretion, consider to be obscene, illegal, defamatory, derogatory of us, our site and/or the Competition or in a waywhich would bring us and/or our site and/or the Competition into disrepute we reserve the right, in our discretion, to take action as we deem appropriate which may include:

  • disabling your account; and/or
  • removing content provided by you; and/or
  • disqualifying you from the Competition (if applicable); and/or
  • blocking your participation in future MUSIC WORLD CUP® competitions or activities; and/or
  • removing any voting privileges; and/or
  • putting in place technical and/or legal steps to prevent you from using our site
  • and/or participating in and/or interacting with the Competition in any way.

We may not offer you a refund of any monies you have paid to us in any such circumstances. Please note that this does not limit other remedies which may be available to us.

2. OTHER APPLICABLE TERMS

2.1.  The terms of all policies and agreements we mention on our site, including the following additional documents, are incorporated in these terms of use and also apply to your use of our site and/or participation in the Competition in any way, including:

(a)  Our Acceptable Use Policy, which sets out the permitted uses and prohibited uses of our site. When using any aspect of our site and/or contributing any content, you must comply with this Acceptable Use Policy.

(b)  Our Privacy Policy, which sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using our site and/or participating in the Competition (including as an Artist or a Voter), you consent to such processing and you warrant that all data provided by you is accurate.

(c)  Our Cookies Policy, which sets out information about the cookies on our site.

2.2.  If you participate in and/or interact with the Competition in any way (including

as an Artist and/or as a Voter), you must comply with the Competition Rules.

3. INFORMATION ABOUT US

3.1.  Our site is operated by Profound Investments Company (referred to as "we" or “us”). We are registered in Dubai under company number 640484 and have our registered office at 3707 Concord Tower, P.O. Box 213217 Dubai U.A.E.

3.2.  Our site is made available for the purpose of facilitating, operating, and promoting the Competition.

3.3. Our site operates as a hosting service in respect of any content, contribution or information uploaded, posted or otherwise provided to or via our site, including without limitation any content in respect of Competition Entries.

4. CHANGES TO THESE TERMS

4.1.  We may revise these terms of use at any time by amending these pages. Please check this page from time to time to take notice of any changes we make. Your continued use of our site and/or participation in and/or interaction with the Competition constitutes your acceptance of any such changes.

4.2.  You are bound by the terms of use in place at the time that you use any part of our site and/or participate in and/or interact with the Competition in any way.

5. CHANGES TO OUR SITE

5.1.  We may update our site from time to time, and may change its content at any time. However, please note that any of the content on our site may be out of date and/or inaccurate at any given time, and we are under no obligation to update it.

5.2.  We may from time to time release new services, rules, features, tools and resources on our site, and/or release new versions of our site (or any part of it). Any new services, rules, features, tools, resources or versions will be subject to these terms of use as well as any additional terms of use that we may release for those specific services, rules or features.

6. ACCESSING OUR SITE

6.1.  Access to our site is made available free of charge. However, to participate in and/or interact with the Competition in any way (including as an Artist and/or as a Voter), you may be required to pay an applicable fee(s) in accordance with the Competition Rules and/or other terms of use.

6.2.  We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. Access to our site is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of our site without notice. We will not be liable to you if for any reason our site is unavailable at any time or for any period.

6.3.  You are responsible for making all arrangements necessary for you to have access to our site, and any associated costs (including charges by your service provider and/or credit card or other transaction fees, for example).

6.4.  You are also responsible for ensuring that anyone who accesses our site through your internet connection is aware of these terms of use and any other applicable terms and conditions, and that they comply with them.

7. YOUR ACCOUNT AND PASSWORD

7.1. You are not obliged to register to use our site. However, access to certain services (including certain participation in and/or interaction with the Competition whether as an Artist and/or as a Voter), may only be available to you if you are a registered user.

7.2.  To register to use our site, you must provide us with your real name and other information requested including your email address and nationality. You must ensure that the contact information you provide is, and remains, valid, accurate and up-to- date.

7.3.  You must not provide any false personal information to us or on our site, or create an account for anyone other than yourself without permission.

7.4.  You must not create more than one user account.

7.5.  If we disable your account, you will not create another one without our permission.

7.6.  Your email address and any other information you provide about yourself will be treated in accordance with our Privacy Policy.

7.7.  You should treat your username, password or any other piece of information arising as part of our security procedures as confidential.

7.8.  You are solely responsible for maintaining the confidentiality and security of your username and password, and you are responsible for all use of your account, username and password, and any and all activity under your account.

7.9.  If you know or suspect that anyone other than you knows your username or password or otherwise has access to your account, you should promptly notify us at registrations@musicworldcup.com, and you should change your password at the earliest possible opportunity.

7.10.  We have the right, with or without prior notice to you, to disable, suspend, cancel, remove or reassign accounts, usernames and passwords in appropriate circumstances determined by us in our sole discretion, including if activities occur on that account which, in our reasonable opinion, would or might constitute a violation of these terms of use, or an infringement or violation of the rights of any third party, or of any applicable laws or regulations.

8. INTELLECTUAL PROPERTY RIGHTS

8.1.  We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. This includes without limitation the trade marks described in paragraph 9 of this User Agreement. We are the licensee of all content, contributions and information uploaded, posted or otherwise provided to or via our site by you or any user of our site, whether in connection with the Competition or otherwise, in accordance with the licences set out at paragraph 11 of this User Agreement and in the Competition Rules in respect of Competition Entries.

8.2.  You may print off one copy, and may download extracts, of any webpage(s) from our site for your personal use and you may draw the attention of others to content posted on our site.

8.3.  You must not modify any copies of materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video, audio or graphics separately from any accompanying text.

8.4.  Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.

8.5.  You must not use, or authorise others to use, any part of the content on our site for commercial purposes, without obtaining a licence to do so from us and/or our licensors and/or any relevant third parties, including without limitation any copyright holders in respect of any content, contribution or information uploaded, posted or otherwise provided to or via our site by a user of our site (including musical content uploaded by Artists in the Competition).

8.6.  If you print off, copy or download any part of our site in breach of these terms of use, your right to use our site, and/or to participate or progress in the Competition (if applicable), and/or to interact with the Competition, will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

9. TRADE MARKS

9.1.  MUSIC WORLD CUP® is a trade mark and registered trade mark.

9.2.  The MUSIC WORLD CUP® logo is a trade mark:

9.3.  You are not permitted to use MUSIC WORLD CUP® or any of our trade marks in any way, except as permitted in paragraph 8 of this User Agreement.

10. UPLOADING CONTENT TO OUR SITE

10.1.  You may choose to and/or you may be asked to upload, post or otherwise provide us with certain content comprising videos, images, likeness, logos, photos, text, name(s) (including professional or stage name(s), contact details or other information relevant to your participation in the Competition and/or your interaction with the Competition and/or your use of or registration with our site (collectively referred to as “User Content”).

10.2.  Whenever you upload, post or otherwise provide any User Content or other contribution or information to or via our site, including as part of the Competition and/or making contact or interacting with other users of our site, you must comply with the content standards set out in our Acceptable Use Policy.

10.3.  Whenever you upload, post or otherwise provide any User Content whilst participating in the Competition in any way (including as an Artist and/or as a Voter), you must also comply with the Competition Rules.

10.4.  You warrant to us:

This means that you have obtained all rights, licences, consents and permissions necessary in order to use, and (if applicable) to authorise us, our designees and/or other users of our site to use such User Content in accordance with these terms of use and/or in connection with the Competition.

(a)  that you own or control any User Content (in whole or part) uploaded, posted or otherwise provided by you, and that such User Content complies with our Acceptable Use Policy, our Competition Rules (where applicable) and all of our terms of use;

(b)  that you have the right to allow us, our designees and/or other users of our site to use such User Content in accordance with this User Agreement and in connection with the Competition.

10.5.  You will be liable to us and indemnify (compensate) us for any breach of these warranties. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

10.6.  You agree that we have no obligation to accept, post, publish or host any User Content uploaded, posted or otherwise provided by you, or to include any User Content as part of or in connection with the Competition, and we have complete discretion as to how, when and for how long any such User Content is featured, hosted and/or present on our site and/or used as part of or in connection with the Competition.

10.7.  Any User Content uploaded, posted or otherwise provided by you will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your User Content, but you are required to grant to us and other users of our site a licence to use, store, copy and exploit that User Content in accordance with our terms of use.

10.8.  We may store User Content, but we are a passive conduit and/or host for such User Content. We are not responsible or liable to you, any user, or any third party for the content or accuracy of any User Content uploaded, posted or otherwise provided by you or any other user of our site or any third party.

10.9.  We have the right to disclose your identity and/or actions and/or any User Content uploaded, posted or otherwise provided by you to law enforcement authorities as we reasonably feel is necessary and/or to any third party who claims that any User Content uploaded, posted or otherwise provided by you constitutes a violation of their intellectual property rights or any other rights including their right to privacy.

10.10.  We are permitted, but not obliged, to monitor any User Content or other content or information that you may provide or upload, post or disclose via our site or as part of the Competition. We are not responsible for monitoring any such User Content. If, in our opinion, your User Content does not comply with the terms of this User Agreement, in particular the content standards set out in our Acceptable Use Policy and/or the Competition Rules (as applicable), and/or any other term of our terms of use, we reserve the right in our absolute discretion, to take action as we deem appropriate which may include removing any User Content uploaded, posted, disclosed or otherwise provided by you and/or disabling or removing or reassigning accounts, usernames and passwords and/or disqualifying you from the Competition (if applicable) and/or removing your voting privileges and/or putting in place technical and/or legal steps to prevent you from using our site and/or participating in and/or interacting with the Competition in any way.

10.11.  Without prejudice to the content standards set out in our Acceptable Use Policy, you must not upload, store, distribute, send, transmit, display, perform, make available or otherwise communicate to the public and/or any user of our site any content (including User Content) to which you do not hold the necessary rights. Unauthorised use of any copyright protected material (including reproduction, distribution, modification, adaptation, public display, public performance, making available or otherwise communicating to the public via our site or as part of the Competition) may constitute an infringement of third party rights and is strictly prohibited. Where any such infringement occurs or is reasonably suspected, we have the right, in our absolute discretion, to take action as we deem appropriate which may include removing such material and/or disabling or reassigning accounts, usernames and passwords and/or disqualifying you from the Competition (if applicable) and/or removing voting privileges and/or putting in place technical and/or legal steps to prevent you from using our site and/or participating in and/or interacting with the Competition in any way. Civil and/or criminal proceedings against you may also be instigated by us and/or by or on behalf of the relevant rightsholder.

10.12.  Please note that in the event that you delete your account and/or remove or delete any User Content that you have uploaded, posted or otherwise provided, and/or you otherwise cease to use our site, and/or cease to participate in the Competition (if applicable), any User Content and/or data you have provided may remain on our servers. We are not responsible for the deletion of any User Content from any servers or systems operated by third party operators, or deletion of any item of such User Content by any user or third party.

10.13.  The views expressed on our site by users and/or participants in the Competition (including without limitation Artists and/or Voters) and/or any other third party do not represent our views or values.

11. RIGHTS LICENSED BY ALL USERS

11.1.  When you upload, post or otherwise provide any User Content to our site you grant us the following licences:

which shall continue even after you delete your account and/or delete your User Content from our site, and/or otherwise cease to use our site and/or otherwise cease to participate in and/or interact with the Competition in any way.

(a)  To us: a non-exclusive, irrevocable, perpetual (to the extent permitted by copyright or other rights in such User Content), royalty-free, worldwide, sub- licensable and transferable right to use, reproduce, publish, copy, store, share, make available, distribute, make derivative works of, display, perform, broadcast, edit, adapt and/or modify such User Content in any media as part of and/or in connection with (including promotion of) our site (via all channels) and/or the Competition and/or our business; and

(b)  To users of our site and/or third parties: the right to share or download extracts of such User Content from our site for personal use, and make such User Content (or any part thereof) available to other users of our site and/or third parties,

11.2.  A separate licence will be granted with respect to each item of User Content.

11.3.  Please note that if you upload any musical content as an Artist to the Competition (including audio and/or audio-visual files or content as or as part of a Competition Entry), the Competition Rules shall apply in addition.

12. LINKING TO OUR SITE

12.1.  You may link to any part of our site, provided you do so in a way that is fair and legal and does not damage or take advantage of our reputation, the reputation of the Competition and/or MUSIC WORLD CUP®, and/or the reputation of any other user (including without limitation Artists and/or Voters in the Competition).

12.2.  You must not establish a link in such a way as to suggest any form of association, approval or endorsement where none exists.

12.3.  We reserve the right to withdraw linking permission without notice.

12.4.  The website or other channel in which you are linking must comply in all respects with the content standards set out in our Acceptable Use Policy.

13. NO RELIANCE ON INFORMATION

13.1. Any content and/or information on our site is provided for general information only. It is not intended to amount to advice on which you should rely. You should obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site, including without limitation in respect of any content, contribution or information uploaded, posted or otherwise provided to or via our site.

13.2. Although we may at our discretion make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up-to-date.

14. LIMITATION OF OUR LIABILITY

14.1.  Nothing in these terms of use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

14.2.  To the extent permitted by law, we exclude all conditions, warranties, representations or other terms, whether express or implied, which may apply to our site and/or any content on it and/or any participation in and/or any interaction with the Competition.

14.3.  We will not be liable to you, or any user, or any third party for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

(a)  use of, or inability to use, our site;

(b)  use of or reliance on any content (including User Content) displayed on our site;

(c)  participation in and/or interaction with the Competition in any way; and/or

(d)  breach by users of our terms of use.

14.4.  You agree not to use our site and/or participate in and/or interact with the Competition for any commercial or business purposes (other than the good faith enhancement of your own career as a musical performer and/or recording artist where you are an Artist in the Competition) and we have no liability to you for any loss of profit, loss of business, business interruption, loss of business opportunity, or loss of career enhancement or opportunity.

14.5.  You acknowledge and agree our site is made available for the purpose of facilitating, operating, and promoting the Competition, and that the Competition is a global talent contest seeking to discover potential musical recording artists. You agree to use our site and/or participate in and/or interact with the Competition in accordance with this stated purpose.

14.6.  We will not be liable to you for any virus, distributed denial-of-service attack, trojan, worm, logic bomb, malicious software or code, bug, glitch, error, delay, inaccuracy, or other content or material which is malicious or harmful or destructive, that may affect your technology, devices, applications, programs, data, User Content, or other material due to your use of our site or to your downloading of any content on it, or on any website or service linked to it.

14.7.  We assume no responsibility for the content of websites or services linked on or to our site. We will not be liable for any loss or damage that may arise from your use of them.

14.8.  By using our site and/or participating in and/or interacting with the Competition, you irrevocably waive the right to assert any claim with respect to any of the foregoing against us or any of our subsidiaries, affiliates, successors, assigns, employees, agents, directors, officers or shareholders.

14.9.  You agree to indemnify (compensate) us and keep us indemnified in full for any claims, losses, expenses, damages, costs (including reasonable legal fees) and liabilities we incur as a result of your use of our site or any participation by you in and/or interaction with the Competition in any way, any breach or alleged / suspected breach by you of these terms of use, any use by you of our site which is unlawful or improper or which goes against the spirit of these terms of use or your breach or violation of any law or the rights of any third party.

15. YOUR USE OF TECHNOLOGY

15.1.  You are responsible for configuring your information technology, computer programmes, software and platform in order to access our site and/or participate in the Competition. You should use your own virus protection software.

15.2.  You must not misuse our site by knowingly introducing any virus, trojan, worm, logic bomb, malicious software or code, bug, glitch, error, delay, inaccuracy, or other content or material which is malicious or harmful or destructive. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site and/or other user accounts and/or content. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We may report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

16. DISPUTES & CLAIMS

16.1.  We are permitted, but not obliged, to monitor any content or information provided or uploaded, posted or disclosed via our site or as part of the Competition, but we are not responsible for monitoring any such content.

You are responsible for reporting to us material on our site to which you object, in accordance with the following procedures:

16.2.  Pop-up Reporting:

Where available on our site, you may use the ‘Pop-up Report’ mechanism to report content to which you object:

(a)  Visit the page where the content is displayed on our site.

(b)  Click on the ‘Report’ button.

(c)  In the ‘Report’ pop-up, click ‘Select a reason’ in the drop-down menu.

(d)  Select the reason for reporting that best fits your objection to the content.

(e) Provide any additional details that may help the review team make their decision.

Your report will be reviewed in reference to the reason selected in respect of your report. We will determine whether, in our opinion, the content fails to comply with the terms of this User Agreement, the content standards set out in our Acceptable Use Policy and/or the Competition Rules (as applicable), and/or any other term of our terms of use, as applicable.

By using the Pop-up Report mechanism you are bringing content to the attention of the MUSIC WORLD CUP® team. The reported material will not automatically be removed from our site.

We reserve the right in our absolute discretion, to take action as we deem appropriate which may include removing the reported content, and/or disabling or removing or reassigning accounts, usernames and passwords and/or disqualifying users from the Competition (if applicable) and/or removing voting privileges and/or putting in place technical and/or legal steps to prevent users from using our site and/or participating in and/or interacting with the Competition in any way.

16.3. Copyright Notices:

If you are the owner of the copyright in any of material on our site and do not consent to the use of such material in accordance with these terms of use, you may send us a Copyright Notice by sending all of the following information by email to report@musicworldup.com:

1. Your contact information

Including your full legal name (first and last name), registered username (if any) and email address.

2. A description of your work that you believe has been infringed

3. The specific URL on our site where the infringing material is found

Including the username, Artist name, and/or Entry title (as applicable). Please note that general information / general description is not sufficient.

4. The date on which you discovered the infringing material

5. Include (and agree to) the following statement:

The information in this notification is accurate, I am the owner of the copyright that is allegedly infringed and I believe in good faith that the use of the material in the manner complained of is not authorised me as the copyright owner, or by my agent or the law.”

Without all of the above information, we will be unable to take action in respect of your Copyright Notice. A Copyright Notice should only be submitted by the copyright owner or an agent authorised to act on the owner’s behalf.

16.4.  Defamation Notices:

If you discover any of material on our site which you believe refers to you, is untrue and is likely to damage your reputation, you may send us a Defamation Notice by sending all of the following information by email to report@musicworldup.com:

1. Your contact information

Including your full legal name (first and last name), registered username (if any) and email address.

2. A description of how the offending material is defamatory

Providing details of how the material refers to you, is untrue and is likely to damage your reputation.

3. The specific URL on our site where the offending material is found

Including the username, Artist name, and/or Entry title (as applicable). Please note that general information / general description is not sufficient.

4. The date on which you discovered the offending material.

5. Include (and agree to) the following statement:

The information in this notification is accurate and I believe in good faith that the material complained of refers to me, is untrue and is likely to damage my reputation and is therefore defamatory.”

Without all of the above information, we will be unable to take action in respect of your Defamation Notice.

16.5.  Other disputes:

In the event that you have a complaint in relation to any other aspect of our site and/or any material on our site, you may contact report@musicworldup.com. Please provide as much information as possible in relation to your complaint, including your full legal name (first and last name), registered username (if any) and email address, a detailed description of your complaint, the specific URL on our site giving rise to your complaint (if applicable).

16.6.  For Copyright Notices, Defamation Notices and other complaints (but not Pop-up Reports - see paragraph 16.2 above) filed with us in according to these terms of use:

(a) We will promptly acknowledge your Notice or complaint by email and/or via our site’s internal messaging system following receipt.

(b)  We will promptly withdraw and/or suspend availability of the material on the URL on our site notified to us in the Notice or complaint (as applicable).

(c)  We will advise the originator of material subject to the Notice or complaint that a Notice or complaint has been filed (and the nature of the Notice or complaint) using the registration details provided to us via our site.

(d)  If the originator fails to respond within 30 days of such notification, either accepting or refuting the Notice or complaint (with evidence) the Notice or complaint will be taken as upheld and the material will be permanently withdrawn from availability on the URL on our site notified to us in the Notice or complaint.

(e)  Material that is subject to a Notice or complaint will not be made available on our site again unless and until the originator has proven to our satisfaction that it does not breach any law and/or does not breach these terms of use (as applicable).

(f)  In addition to withdrawing and/or suspending material subject to a Notice or complaint, we reserve the right in our absolute discretion, to take action as we deem appropriate which may include removing such material and/or disabling or removing or reassigning accounts, usernames and passwords and/or disqualifying users from the Competition (if applicable) and/or removing voting privileges and/or putting in place technical and/or legal steps to prevent users from using our site and/or participating in and/or interacting with the Competition in any way.

16.7. You must not raise false complaints or make false claims. Misuse of any dispute resolution process may result in action as we deem appropriate in our absolute discretion, which may include the suspension of your user account and/or legal consequences.

17. GENERAL

17.1.  These terms of use make up the entire agreement between you and us, and supersede any prior agreements.

17.2.  In the event that any of the provisions of these terms of use are held to be invalid, void or unenforceable, the remaining provisions will remain in full force and effect.

17.3.  Nothing in these terms of use shall be deemed or interpreted to limit or affect any other legal and/or statutory rights that you may have.

17.4.  You will not transfer any of your rights or obligations under these terms of use to anyone else without our consent.

17.5.  All of our rights and obligations under these terms of use are freely assignable by us in connection with any merger, acquisition, or sale of assets, or by operation of law or otherwise.

18. APPLICABLE LAW

Please note that these terms of use, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have non-exclusive jurisdiction. If you are resident in a place outside of England and Wales you may bring proceedings in the place where you are resident.

COMPETITION RULES

PLEASE READ THESE COMPETITION RULES CAREFULLY BEFORE USING THE MUSIC WORLD CUP® SITE AND/OR PARTICIPATING IN ANY WAY IN THE MUSIC WORLD CUP® INTERNATIONAL MUSIC TALENT COMPETITION

These Competition Rules are written in English. Should any translation of these Competition Rules conflict with the English version, the English version will

prevail.

By participating in this Competition, you agree to be bound by these Competition Rules and represent that you satisfy all of the eligibility requirements below.

These Competition Rules should be read together with the User Agreement, Acceptable Use Policy, Privacy Policy, Cookie Notice and Cookies Policy (collectively with these Competition Rules, the “terms of use”).

1. THE PROMOTER

The promoter is: Profound Investments Company (“Promoter”). Promoter is a company registered in Dubai under company number 640484 and has its registered office at 3707 Concord Tower, P.O. Box 213217 Dubai U.A.E.

2. THE COMPETITION

2.1.  The title of the competition is: MUSIC WORLD CUP® (“Competition”).

2.2.  The Competition is a global talent contest seeking to discover potential musical recording artists. The Competition is open to solo artists, duos or groups (of up to six (6) members).

2.3.  The Competition format includes three (3) rounds:

(a)  National Online Round;

(b)  Academy Mentorship Program; and

(c)  The Live Finals.

2.4.  National Online Round

The National Online Round begins on 14 July 2016 at 00:00 Eastern Standard Time (“EST”) and ends on 31 July 2017 at 24:00 EST or at such other dates and times as Promoter may elect at its sole discretion.

The National Online Round takes place online. During the National Online Round Competition entrants (“Artists”) compete for the top place in their country of citizenship. Artists must register for the Competition on the Competition website www.musicworldcup.com (“Competition Website”). As part of the registration process, Artists must select their country of citizenship, create a profile and upload their music. Once Artists have registered for the Competition, their profile and their music will be accessible by the general public via the Competition Website. Users of the Competition Website will be able to view Artists’ profiles, listen to Artists’ music and vote for Artists’ music.

Artists are ranked nationally (within their country of citizenship) based on a combination of factors including but not limited to votes received via the Competition Website and user interaction with Artists’ music on the Competition Website. Artists and their fans are encouraged to share and promote Artists’ music to increase their national ranking. The Artists ranked number one in each participating country on the closing date of the National Online Round (the “National Winners”) qualify for the Academy Mentorship Program (i.e., the next round of the Competition), Provided That they have complied with and continue to comply with these Competition Rules, the terms of use and any other requirements Promoter may deem necessary in its sole discretion and Provided Further That Promoter reserves the right to invite only some of the National Winners to continue on to the Academy Mentorship Program, at its sole discretion.

In the event of a tie for any National Winner spot, the tie will be broken based on the following method: (1) the online ranking system will be reset for each of the Artists involved in the tiebreak (i.e., rankings obtained during the National Online Round up to this point will not be taken into account for tiebreak purposes); (2) the online ranking system will then be turned back on for each of the Artists involved in the tiebreak for a period of 24 (twenty four) hours (“Tiebreak Period”) during which time the Artists involved in the tiebreak will be ranked against each other; (3) although visitors to the Competition Website will continue to be able to access all Artists’ profiles and all Artists’ Entries, for the duration of the Tiebreak Period they will only be able to vote for the Artists involved in the tiebreak and the rankings will only include the Artists involved in the tiebreak; (4) the Artist ranked number one in the tiebreak at the close of the Tiebreak Period will be declared the National Winner.

2.5. Academy Mentorship Program

The Academy Mentorship Program begins on 1 October 2017 at 12:00 EST and ends on 15 October 2017 at 24:00 EST or at such other dates and times as Promoter may elect at its sole discretion.

The Academy Mentorship Program takes place in the (“Program City”). Each of the National Winners will be invited to the Program City to attend the Academy Mentorship Program, Provided that Promoter reserves the right to invite a lesser number of National Winners (and/or to invite other Artists) at its sole discretion.

In the event that any National Winner is unable to participate in the Academy Mentorship Program for any reason, Promoter reserves the right to replace that National Winner with the next highest ranked Artist from the same country (based on the rankings at the end of the National Online Round) who is able to attend, at Promoter’s sole discretion.

Each Artist attending the Academy Mentorship Program (the “Second Round Artists”) will be appointed a mentor(s) from the MUSIC WORLD CUP® Academy (“Mentor”) to provide tips and training in preparation for The Live Finals.

Prior to the opening date of the Academy Mentorship Program the online ranking system will be reset (i.e., rankings obtained during the National Online Round will have no effect on the rankings in subsequent rounds of the Competition). On the opening date of the Academy Mentorship Program the online ranking system will begin ranking the Second Round Artists against each other based on a combination of factors including but not limited to votes received via the Competition Website and user interaction with Artists’ music on the Competition Website. Although visitors to the Competition Website will continue to be able to access all Artists’ profiles and all Artists’ Entries, for the duration of the Academy Mentorship Program they will only be able to vote for Second Round Artists and the rankings will only include Second Round Artists. On the closing date of the Academy Mentorship Program the Second Round Artists will be given an initial ranking based on their ranking at that time (the “Initial Ranking”).

On the closing date of the Academy Mentorship Program each Second Round Artist will also be given a score by the Mentors (“Program Mentor Score”).

The Second Round Artists will then be ranked again (the “Combined Ranking”) based on a combination of both their Initial Ranking and their Program Mentor Score.

The top sixty (60) Second Round Artists according to the Combined Ranking (the “Semi-Finalists”) qualify for The Live Finals (i.e., the next round of the Competition), Provided that they have complied with and continue to comply with these Competition Rules, the terms of use and any other requirements Promoter may deem necessary in its sole discretion and Provided Further That Promoter reserves the right to invite only some of the Semi-Finalists to continue on to The Live Finals, at its sole discretion.

In the event of a tie for the last Semi-Finalist spot, the Artist with the highest Program Mentor Score (out of the Artists involved in the tiebreak) will be given the last Semi-Finalist spot. In the event that two (or more) of the Artists tied for the last Semi-Finalist spot received the same Program Mentor Score and that score was the highest Program Mentor Score amongst the Artists tied for the last Semi-Finalist spot, a vote will be held amongst all of the mentors from the MUSIC WORLD CUP® Academy (as available) (each Mentor having one vote) to determine which of those Artists will be given the last Semi-Finalist spot). Promoter reserves the right to select a greater or lesser number of Semi- Finalists to participate in The Live Finals, at is sole discretion.

2.6. The Live Finals

The Live Finals consist of three (3) Semi-Finals and one (1) Grand Final. The Semi-Finals take place in the Program City. The Grand Final takes place in the (“Host City”).

The Semi-Finals take place over three (3) days (one (1) day for each Semi- Final): 16 October 2017, 17 October 2017 and 18 October 2017 (exact dates and times to be confirmed). Each of the Semi-Finalists will be given the opportunity to perform during one (1) Semi-Final. Each Semi-Final will feature live performances by twenty (20) competing Semi-Finalists, Provided That Promoter reserves the right to select a greater or lesser number of Semi- Finalists at its sole discretion. In the event that any Semi-Finalist is unable to participate in their assigned Semi-Final for any reason, Promoter reserves the right to replace that Semi-Finalist with the highest ranked Second Round Artist not yet participating in The Live Finals (based on the Combined Rankings in the Academy Mentorship Program), at Promoter’s sole discretion.

Prior to the opening date of The Live Finals the online ranking system will be reset (i.e., rankings obtained during previous rounds will have no effect on the rankings in The Live Finals). On the opening date of The Live Finals the online ranking system will begin ranking the Semi-Finalists against each other based on a combination of factors including but not limited to votes received via the Competition Website, user interaction with Artists’ music on the Competition Website, scores received from Mentors (“Semi-Final Mentor Score”) and participation of the live audience at the relevant Semi-Final. Although visitors to the Competition Website will continue to be able to access all Artists’ profiles and all Artists’ Entries, for the duration of the Semi-Finals they will only be able to vote for Semi-Finalists and the rankings will only include Semi-Finalists.

The three (3) highest ranked Semi-Finalists from each Semi-Final will be declared winners (gold, silver and bronze, respectively).

In the event of a tie for any gold, silver or bronze spot in any Semi-Final, the Artist with the highest Semi-Final Mentor Score (out of the Artists involved in the tiebreak) will be given the relevant spot. In the event that two (or more) of the Artists tied for the relevant spot received the same Semi-Final Mentor Score and that score was the highest Semi-Final Mentor Score amongst the Artists tied for the relevant spot, a vote will be held amongst all of the mentors from the MUSIC WORLD CUP® Academy (as available) (each Mentor having one vote) to determine which of those Artists will be given the relevant spot).

The gold, silver and bronze winners from each of the three (3) Semi-Finals (collectively, the “Grand Finalists”) will be given the opportunity to perform in the Grand Final, Provided That they have complied with and continue to

comply with these Competition Rules, the terms of use and any other requirements Promoter may deem necessary in its sole discretion and provided further that Promoter reserves the right to invite only some of the Grand Finalists to continue on to the Grand Final, at its sole discretion.

The Grand Final will take place in the Host City in close proximity to the Semi- Finals (exact date and times to be confirmed). Prior to the Grand Final the online ranking system will be reset (i.e., rankings obtained during previous rounds and during the Semi-Finals will have no effect on the rankings in the Grand Final). On the opening date of the Grand Final the online ranking system will begin ranking the Grand Finalists against each other based on a combination of factors including but not limited to votes received via the Competition Website, user interaction with Artists’ music on the Competition Website, scores received from Mentors (“Grand Final Mentor Score”) and participation of the live audience at the Grand Final. Although visitors to the Competition Website will continue to be able to access all Artists’ profiles and all Artists’ Entries, for the duration of the Grand Final they will only be able to vote for Grand Finalists and the rankings will only include Grand Finalists.

At the end of the Grand Final, the number one ranked Grand Finalist will be declared winner of the MUSIC WORLD CUP® (“Overall Winner”), the number two ranked Grand Finalist will be declared first runner-up (“First Runner-Up”) and the number three ranked Grand Finalist will be declared second runner-up (“Second Runner-Up”).

In the event of a tie for the Overall Winner spot, the Artist with the highest Grand Final Mentor Score (out of the Artists involved in the tiebreak) will be declared Overall Winner. In the event that two (or more) of the Artists tied for the Overall Winner spot received the same Grand Final Mentor Score and that score was the highest Grand Final Mentor Score amongst the Artists tied for the Overall Winner spot, a vote will be held amongst all of the mentors from the MUSIC WORLD CUP® Academy (as available) (each Mentor having one vote) to determine which of those Artists will be declared Overall Winner and First Runner-Up, respectively (and potentially Second Runner-Up in the event that the tiebreak involves three or more Artists).

In the event of a tie for the First Runner-Up spot, the Artist with the highest Grand Final Mentor Score (out of the Artists involved in the tiebreak) will be declared First Runner-Up. In the event that two (or more) of the Artists tied for the First Runner-Up spot received the same Grand Final Mentor Score and that score was the highest Grand Final Mentor Score amongst the Artists tied for the First Runner-Up spot, a vote will be held amongst all of the mentors from the MUSIC WORLD CUP® Academy (as available) (each Mentor having one vote) to determine which of those Artists will be declared First Runner-Up and Second Runner-Up, respectively.

In the event of a tie for the Second Runner-Up spot, the Artist with the highest Grand Final Mentor Score (out of the Artists involved in the tiebreak) will be declared Second Runner-Up. In the event that two (or more) of the Artists tied for the Second Runner-Up spot received the same Grand Final Mentor Score and that score was the highest Grand Final Mentor Score amongst the Artists tied for the Second Runner-Up spot, a vote will be held amongst all of the mentors from the MUSIC WORLD CUP® Academy (as available) (each Mentor having one vote) to determine which of those Artists will be declared Second Runner-Up.

2.7.  Promoter reserves the right to add additional rounds to the Competition or to remove existing rounds of the Competition at its sole discretion.

2.8.  During all rounds, the Competition is artist-based rather than track-based (i.e., the Competition seeks to reward the top artists, rather than the top tracks, although individual tracks will of course play an important part in an Artist’s success in the Competition).

2.9.  If there are any Artists of exceptional merit, who for whatever reason are outside the planned number of Artists proceeding to the next round of the Competition at any stage, Promoter reserves the right to make a “wildcard” selection(s), at Promoter’s sole discretion, enabling any such Artist to advance to the next round of the Competition.

2.10.  All National Winners, Semi-Finalists, Grand Finalists and the Overall Winner (collectively, “Selected Artists”) and each of their Entries (as defined below) are subject to verification, including without limitation verification of eligibility, compliance with these Competition Rules, compliance with the terms of use and compliance with any other requirements Promoter may deem necessary in its sole discretion. If attempted notification of any Artist of that Artist’s selection as a Selected Artist is not successful after reasonable efforts, or if a Selected Artist cannot be verified, or if a Selected Artist or any of that Artist’s Entries is not in compliance with these Competition Rules, the terms of use or any other such requirements Promoter may deem necessary in its sole discretion, or if a Selected Artist is otherwise unable to participate further in the Competition or to accept any prize for any reason, such advancement in the Competition or prize will be forfeited and another Artist may be selected to replace the forfeiting Artist provided sufficient time remains, in Promoter’s sole discretion.

2.11.  The exact process used and criteria considered in determining Selected Artists throughout the Competition is confidential and will not be made available except as Promoter deems necessary, in Promoter’s sole discretion.

3. AGREEMENT TO COMPETITION RULES

3.1.  By participating in the Competition, you fully and unconditionally agree to and accept these Competition Rules and the decisions of Promoter, which are final and binding in all matters related to the Competition.

3.2.  You acknowledge that these Competition Rules may be revised (including without limitation verbally) at any time without prior notice by Promoter in Promoter’s sole discretion. You are advised to check the latest version of the Competition Rules on the Competition Website from time to time and to take notice of any changes Promoter makes thereto. Your continued use of the Competition Website and/or participation in the Competition constitutes acceptance of any such changes.

3.3. You are bound by the Competition Rules in place at the time that you use any part of the Competition Website and/or participate in the Competition in any way.

4. ENTRY

4.1.  The National Online Round (which is the first round of the Competition) begins on 14 July 2016 at 00:00 EST and ends on 31 July 2017 at 24:00 EST (“National Online Round Closing Date”) or at such other dates and times as Promoter may elect at its sole discretion.

4.2.  All Artists who register for the National Online Round before the National Online Round Closing Date will be deemed eligible to be included in the national rankings and to potentially advance further in the Competition (as described in more detail in Clause 2 of these Competition Rules, above).

4.3.  Artists must register for the National Online Round on the Competition Website. As part of the registration process, Artists must select their country of citizenship, create a profile and upload their music

4.4.  Promoter may in Promoter’s sole discretion include additional methods of registration at any time and the closing dates for such methods will be stated at such time.

4.5.  Promoter will not accept responsibility for applications to register for the Competition that are lost, mislaid, damaged or delayed in transit, regardless of cause, including, for example, as a result of any equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind or otherwise which may result in any messages or applications to register for the Competition not being properly received or recorded.

4.6.  Promoter will not accept proof of transmission of an application to register for the Competition as proof of registration as an Artist in the Competition.

4.7.  Please note that outside of this application process, musical acts may also be invited to participate in the Competition by Promoter or parties acting on behalf of Promoter. These Competition Rules will apply to such acts.

4.8.  Any application to register for the Competition not received in time for this Competition may be considered for inclusion in future MUSIC WORLD CUP® competitions and/or as reserves.

4.9.  Promoter cannot guarantee that Artists will receive a response to their application to register for the Competition.

4.10.  For help with applying for the Competition, please email stardom@musicworldcup.com.

4.11.  The information given by Artists in their applications to register for the Competition may be used by Promoter in relation to the Competition, for example in publicity or marketing of the Competition.

4.12.  Our acceptance of your application to become an Artist in the Competition and/or our acceptance of your Entry to the Competition is at our sole discretion.

5. ELIGIBILITY OF ARTISTS

5.1.  In order to enter this Competition and be eligible to win, you represent and warrant that you satisfy all eligibility criteria. Promoter may, at any time and at Promoter’s sole discretion, require you to provide proof that you are eligible to participate in this Competition.

5.2.  All personal details and/or information given to Promoter by you in your application for registration or otherwise must be, and continue to be, truthful, accurate and in no way misleading (for the duration of the Competition or your professional involvement with Promoter, whichever lasts longer). Promoter reserves the right to disqualify you from the Competition if you have supplied untruthful, inaccurate or misleading personal details and/or information.

5.3.  The Competition is open to Artists of any age. However, anyone under twenty one (21) years of age wishing to participate in the Competition must, at Promoter’s request, present a signed waiver from a parent or legal guardian who will acknowledge that they have read these Competition Rules and the terms of use. Promoter will require minors to provide such authorization in the forms and terms prescribed by Promoter. Promoter reserves the right to disqualify any participant for not presenting the signed waiver mentioned above, or in the event of fraud, inaccuracy or incomplete response.

5.4.  If you are under twenty one (21) years of age and you are invited to attend the Academy Mentorship Program and/or The Live Finals you must be accompanied by a parent or legal guardian. If the dates of the Academy Mentorship Program and/or The Live Finals are during your school term times, it is your responsibility to obtain confirmation of authorised leave of absence from your school and/or local authority, as required. Promoter will not be liable where you do not obtain such authorisation.

5.5.  You acknowledge that the purpose of the Competition is the search for one or more recording artist(s) and the Competition will require a live musical and/or vocal performance. Applications made on behalf of a group must have the consent of all members of the group before applying. If any member of the group is under the age of twenty one (21) you must also ensure you have the consent of their parent or legal guardian. You understand the nature of the Competition and in entering the Competition you hereby consent to the use of your contribution to the Competition on the terms and conditions stated herein and in the terms of use.

5.6.  The Competition is open to solo artists, duos or groups (of up to six (6) members).

5.7.  The Competition is open to citizens of any participating country, except:

(a)  employees of Promoter or its holding or subsidiary companies;

(b)  members of the immediate families of (a).

5.8.  Promoter will not accept applications to register for the Competition that are:

(a)  automatically generated by computer;

(b)  completed by third parties or in bulk;

(c)  illegible, have been altered, reconstructed, forged or tampered with; or

(d)  incomplete.

5.9.  Artists must be a citizen of the participating country they select as part of the registration process.

5.10.  Where Artist is a group (i.e., a musical act containing more than one member), at least one member of the group must be a citizen of the participating country selected as part of the registration process.

5.11.  Where Artist (or any of its members where Artist is a group) is a citizen of more than one participating country, for the purposes of the Competition that Artist must choose one country to be applied across all of that Artist’s Entries in the Competition (i.e., after selecting a participating country when submitting their first Entry, Artists must select the same country when submitting any subsequent Entries).

5.12.  Participation by an Artist in the Competition is subject to having first created a user account on the Competition Website. The Competition Website is the only way of registering for the Competition. Registration by any other means shall be void, except as provided for by Promoter in Promoter’s sole discretion. Artists expressly agree that in the event that they terminate their use of the Competition Website (i.e., by closing their user account) the contracts concluded when participating in the Competition and when accepting these Competition Rules and the terms of use will continue to be in force and will not be called into question.

5.13.  You represent that you have the full right and authority to enter the Competition and to grant Promoter the rights contained within these Competition Rules and the terms of use.

5.14.  You represent that you have not done nor will you do anything which would derogate from Promoter’s rights under the terms of use.

5.15.  You represent that you are not subject to any exclusive recording agreement, management agreement or other agreement or arrangement which would prevent you from granting to Promoter the rights granted under the terms of use.

5.16.  You represent that you have not entered into and will not enter into any agreement with any third party which in any way whatsoever conflicts or is incompatible with any of the terms included in the terms of use or derogates from or affects any rights granted, licensed and/or assigned to Promoter under the terms of use and the grant of any rights to Promoter under the terms of use is free of all encumbrances and third party rights and you shall at your own cost do all that you can upon Promoter’s request to perfect the said grant of rights.

5.17.  You represent that you do not have any condition that would prevent you from safely participating in the Competition or would pose a risk to others in your doing so. It is also recommended that you consult your medical practitioner prior to participation.

5.18.  You represent that you will not incur any liability on behalf of Promoter or represent that you are entitled to do so.

5.19.  You represent that there are no disputes and/or litigation or any other issues which Promoter should be aware of which may affect your ability to participate further in the Competition or to perform in full within the terms of the terms of use.

5.20.  You hereby grant to Promoter for the period from the date of submission of your Entry until eighteen (18) months after the opening date of the Competition (“Option Period”) an exclusive irrevocable option (“Promoter’s Option”) to acquire the exclusive rights in and to: your audio and/or audio visual activities; services as a songwriter and/or composer; services as a live performer; sponsorship and endorsement activities; and/or in respect of the management of your career, in each case in and in relation to the music and entertainment industry, on terms to be agreed. Promoter reserves the right to extend the Option Period at its sole discretion.

5.21.  In the event that Promoter does not exercise Promoter’s Option, you will not release or exploit or authorise the release or exploitation of the product of your audio or audio/visual services in any manner including without limitation the release or exploitation of any recordings of your performances until expiry of the Option Period (or earlier release therefrom, in Promoter’s sole discretion) Save that notwithstanding the foregoing you shall be entitled to:

(a)  undertake activities as a non-featured backing vocalist and/or session musician for other artists;

(b)  act as a producer, mixer or remixer for third parties;

(c)  upload clips of your musical performances to YouTube and/or SoundCloud solely for transmission on YouTube or SoundCloud (as applicable) provided such clips are not related to the Competition or your activities in relation to the Competition and comprise user generated content of a non-commercial nature.

5.22.  The restrictions in clause 5.21 are included in these Competition Rules in recognition that the primary objective of the Competition is to enable Promoter to identify one or more potential musical recording artist(s), and that it is reasonable in all the circumstances for any such artist(s) identified under and in accordance with these Competition Rules to be free, for a limited period, to pursue their recording career without direct competition from Artists who are not so identified.

5.23.  You agree to make yourself available, at such times and in such locations as Promoter may reasonably require in respect of the Competition including without limitation rehearsals, publicity, press calls, photographs, recordings and/or other contributions. Such events will be organised by Promoter or on Promoter’s behalf.

5.24.  You represent that you are able to provide your live performing services (including but not limited to live musical performances, promotional appearances, rehearsals and television appearances) to Promoter on a “first call” priority basis until eighteen (18) months after the opening date of the Competition, on the understanding that “first call” means that such appearances will take priority over all other obligations you may have.

5.25.  Selected Artists acknowledge and agree to make themselves available for appearances and promotion for an eighteen (18) month period from the end of the Competition for a minimum of five (5) times, at Promoter’s sole discretion. These will be at such times and in such locations as Promoter may reasonably require in respect of the Competition including without limitation showcases and The Live Finals the following year, interviews, publicity, press calls, photographs, recordings and/or other contributions. Should you be chosen as a Selected Artist, you agree to attend such events.

5.26.  You will not without Promoter’s prior written consent disclose, publish or discuss with any third party any confidential and/or sensitive information concerning Promoter and/or the Competition, your participation in the Competition or any other participants in the Completion nor any other confidential and/or sensitive information which may come to your attention through your participation in the Competition including without limitation in relation to Promoter and/or the Competition or otherwise save where such information is already in the public domain.

5.27.  You acknowledge that no filming, recording or photography will be permitted at any Competition-related events organised by Promoter (other than that undertaken by Promoter or parties acting on behalf of Promoter) unless agreed by Promoter in advance.

5.28.  You acknowledge that Promoter (or other parties as chosen by Promoter) may film and/or record performances at any Competition-related events. You agree to the use of this material by Promoter for marketing and promotional purposes, including but not limited to national and international broadcast, including rights to reproduce and edit footage. Promoter will own all intellectual property rights in any film and sound recording of your performance/s at any Competition-related events.

5.29.  All Artists consent to use of name, likeness and entry materials in any manner by Promoter or any Competition sponsor or any other Competition partners, for advertising and trade without further compensation, unless prohibited by law.

5.30.  Should you be invited to attend the Academy Mentorship Program (i.e., should you make it through to the second round of the Competition), you undertake to notify Promoter immediately (for the duration of the Competition or your professional involvement with Promoter, whichever lasts longer) if there are any criminal charges brought against you.

5.31.  Should you be invited to attend the Academy Mentorship Program (i.e., should you make it through to the second round of the Competition), you undertake to notify Promoter immediately of any issues personal to you that could potentially prevent you from travelling to the Program City or the Host City for the Academy Mentorship Program and/or The Live Finals (for example, any issues that may prevent you from obtaining any required visas or other travel documentation).

5.32.  Should you be selected to take part in the Academy Mentorship Program and/or The Live Finals, you agree and undertake to enter into further contracts with Promoter at that time and you agree to abide by the terms therein.

6. COMPETITION ENTRIES

6.1.  Whenever you upload, post or otherwise provide any Entry in the Competition, you must comply with these Competition Rules, and you must comply with the content standards set out in our Acceptable Use Policy, and all of our terms of use.

6.2.  You agree that we have no obligation to accept, post, publish or host any of your Entry(ies), or to submit such Entry(ies) for entry to the Competition, and we have complete discretion as to how, when and for how long any Entry(ies) are featured or present on our site and/or remain in the Competition.

6.3.  We have the right to disclose your identity and/or actions and/or any Entry uploaded, posted or otherwise provided by you to law enforcement authorities as we reasonably feel is necessary and/or to any third party who claims that any Entry uploaded, posted or otherwise provided by you or entered in the Competition constitutes a violation of their intellectual property rights or any other rights.

6.4.  We are not responsible for monitoring any material that you may provide or upload or post to or via our site or as part of the Competition. If, in our opinion, your Entry(ies) does not comply with any terms of our terms of use, in particular the content standards set out in our Acceptable Use Policy and/or these Competition Rules (as applicable), we reserve the right to remove any Entry(ies) uploaded, posted or otherwise provided by you and/or to disqualify you from the Competition.

6.5.  Please note that in the event that you delete your account and/or remove or delete any Entry(ies) that you have uploaded, posted or otherwise provided, and/or you otherwise cease to use our site, and/or cease to participate in the Competition, any Entry(ies) you have submitted may remain on our servers. We are not responsible for the deletion of any Entry(ies) from any servers or systems operated by third party operators, or deletion of any item of such material by any user or third party.

6.6.  We will not be responsible or liable to any third party for the content of any Entry uploaded, posted or otherwise provided by you or any other user of our site.

6.7.  By entering into the Competition, you confirm that you agree to allow us and our designees to use any musical content you upload, post or otherwise provide to our site in respect each of your Entry(ies) in accordance with and subject to the terms and conditions of these Competition Rules.

6.8.  Artists may upload audio only recordings or audio/visual recordings of their live musical performance (in either case, an “Entry”). In the event that you upload an audio only file, you grant Promoter the right to display video and/or still images of Promoter’s choice whenever that Entry is accessed via the Competition Website.

6.9.  The following file formats are accepted: MP4, MP3, MOV, AVI, WMV, FLV, 3GP, AAC, FLAG, OGG, WAV.

6.10.  The maximum file size is 500mb.

6.11.  There is no limit on the number of different Entries (i.e., different songs and/or different versions of the same song) an Artist may submit.

6.12.  To be eligible, an Entry must comprise solely of one (1) recording which:

(a) embodies the identifiable featured musical performance of the Artist;

(b) is a “live” or “in concert” recording;

(c) is a recording specifically recorded for the purposes of entry into the Competition;

(d) is technically and artistically satisfactory to Promoter in Promoter’s reasonable good faith opinion for entry into the Competition, particularly in light of the Competition being a global talent contest seeking to discover potential musical recording artists.

6.13.  In the event that an Entry contains vocal musical performance, such vocal musical performance may be in any language but must be primarily musical (not spoken word), which may include rapping, beatboxing or similar.

6.14.  Your recorded performance of the underlying composition (lyrics and music) of the Entry should not have been commercially released prior to the date it is uploaded as an Entry. In cases where the composition has been made available to the public, including without limitation on online video platforms, social networks or (semi-) publicly accessible databanks, Promoter shall have authority to evaluate whether the Entry is eligible to be included in the Competition. In particular, Promoter shall assess whether such disclosure prior to the opening date of the Competition is likely to give to that Artist an advantage in the Competition vis-à-vis the other Artists. Promoter shall in its sole discretion authorise or deny participation of an Entry which may have been available to the public as described above.

6.15.  The content of your Entry, including without limitation lyrics, speeches, comments or gestures, shall not:

(a)  bring the Competition into disrepute;

(b)  incorporate content of a religious, political or similar nature;

(c)  incorporate content of a profane, offensive, abusive or otherwise unacceptable nature;

(d)  incorporate messages promoting any organization, institution, religion, political cause, company, brand, products or services.

6.16.  You warrant, undertake and represent that:

(a)  your Entry does not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights;

(b)  your Entry does not contain copyrighted material not created by you, other than material that you have the necessary rights, consents and permissions to use and sub-license to Promoter on a royalty-free, irrevocable, perpetual, exclusive basis in connection with the Entry;

(c)  your Entry does not contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libellous;

(d)  your Entry does not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where the Entry is created;

(e)  you have made all arrangements for the recordings to be made and that you have paid for the recordings to be made;

(f)  you own all of the rights in and to each Entry and that you have the right to grant the licences described in these terms of use to us and our licensees;

(g)  you have obtained all necessary consents and permissions to permit the use and exploitation of each Entry by us and our designees in accordance with these Competition Rules and the terms of use;

(h)  if you wrote the music and/or the song (including all music and all lyrics if applicable) embodied in the Entry yourself, that you own and control 100% of the music and/or song embodied in each Entry, and all arrangements embodied in each Entry;

(i)  you waive all ‘moral rights’ in each Entry and will not assert such ‘moral rights’ against us or our designees;

(j)  each Entry does not contain any so-called illegal or infringing material, including “samples”;

(k)  each Entry complies with our Acceptable Use Policy, these Competition Rules and the terms of use;

This means that you have obtained all rights, licences, consents and permissions necessary in order to use, and (if applicable) to authorise us, our designees and/or other users of the site to use each Entry in accordance with these terms of use and/or for the purpose of the Competition. Such consents and permissions include permission from:

  • any third parties whose name, voice, performance or likeness appears in any Entry, such as performers, singers, backing vocalists, musicians, conductors;
  • producers, mixers, remixers and/or engineers;
  • any record company , label, distributor or licensee;
  • directors of videos;
  • funders or investors;
  • anyone featured in a video other than you, including dancers;
  • any other person who has contributed to the Entry in any way;
  • if you did not write the song (including all music and all lyrics if applicable) embodied in the Entry, then the writer or writers of the underlying song or music embodied in each Entry and any arrangers.

6.17.  You will be liable to us and agree to indemnify (compensate) us and keep us indemnified in full for any claims, losses, expenses, damages, costs (including reasonable legal fees) and liabilities we incur as a result of each Entry you have submitted, and/or as a result of any breach or alleged / suspected breach by you of the rights of any third party and/or any law. This means you will be responsible for any loss or damage we suffer as a result of your breach of any of the warranties you make to us.

6.18.  You are responsible for any payments to anyone whose performances or services are embodied in or used in producing the Entry, and any and all royalties, fees and other payments which may be due in respect of the manufacture, promotion, advertising, sale or exploitation of each Entry.

6.19.  Where an Entry consists of an audio/visual file, you represent that you have the express consent of any identifiable persons appearing in the Entry to their likeness being used in the ways set out in these Competition Rules and the terms of use, including Promoter’s right to use the Entry and image for any future commercial purpose related to the Competition. Upon request, you will obtain written consent of any such persons for Promoter. If any person appearing in the Entry is under the age of twenty one (21), the written consent and signature of a parent or legal guardian is required. The Entry must not contain any personally identifiable information of any person.

6.20.  Please note that in the event that you delete your account and/or remove or delete any Entry(ies) that you have uploaded, posted or otherwise provided, and/or you otherwise cease to use our site, and/or cease to participate in the Competition, the rights you have granted to us in the Entry(ies) pursuant to these terms of use shall continue even after you delete your account and/or any content you have uploaded to our site, and/or otherwise cease to participate in the Competition and/or cease to use our site.

6.21.  You shall not make any claim against Promoter in respect of your moral and like rights in relation to your Entry (including without limitation pursuant to the Copyright Designs and Patents Act 1988), which rights you hereby irrevocably and unconditionally waive.

6.22.  Promoter may require that Artists upload to the Competition Website a new Entry for any round of the Competition in the time specified by Promoter in order to remain eligible.

7. VOTING

7.1.  Users who have registered on the Competition Website will be provided with a limited number of credits which can be used to (among other things) vote for their chosen Artists. “Voter” or “Voters” means anyone who registers on the Competition Website and wishes to participate in or interact with the Competition, including by voting for any entry or entries in the Competition.

7.2.  By registering on the Competition Website, you confirm that you have read and agree to these Competition Rules.

7.3.  Any use of robotic, macro, automatic, programmed or like voting methods will void all such votes and Promoter reserves the right to nullify any and all such votes and to disqualify from voting the responsible parties. Any attempt by an Artist and/or Artist’s family/friends to vote using multiple names, email addresses, phone numbers and/or any other fraudulent mechanism at any stage in the Competition, as determined by Promoter in its sole discretion, shall give Promoter the right to disqualify that Artist in its sole discretion. Any attempt by any Voter to submit votes by using multiple/different email addresses, identities or any other method will void that Voter’s votes. Artists are prohibited from obtaining votes by any fraudulent or inappropriate means, including, but not limited to, offering prizes or other inducements to members of the public, paying a third party service to vote for or obtain votes for the Artist’s Entry, or collaborating with other individuals or groups to trade votes, utilizing paid media amplification without Promoter’s prior written consent, or otherwise acting in contravention of these Competition Rules and/or the terms of use, or the spirit or intention of the Competition as determined by Promoter, in its sole discretion, and Promoter reserves the right to nullify any and all such votes and to disqualify from the Competition the responsible Artist(s).

7.4. Voters will receive consideration for various opportunities, including by way of example only: a trip to The Live Finals; a place on the “jury” at The Live Finals; tickets to the Academy Mentorship Program; tickets to The Live Finals; tickets to official event after-parties; tickets to red-carpet events; back stage passes; “meet and greet” events with certain Artists; “meet and greet” events with Celebrity Goodwill Ambassadors; signed merchandise. All such opportunities are subject to availability. Promoter reserves the right to change the opportunities offered and/or replace any or all opportunities offered. Any such opportunity offered is non-negotiable and non-transferable.

8. PRIZES

8.1.  Prizes are provided by Promoter and/or Competition sponsors and/or Competition partners. The awarding of any prize is at the sole discretion of Promoter.

8.2.  The Overall Winner will be presented with the MUSIC WORLD CUP® Winners Trophy, which the Overall Winner shall be entitled to retain possession of (on behalf of Promoter) for a limited period of time to be determined at Promoter’s sole discretion, but in any event no later than the start date of the first round of the following year’s MUSIC WORLD CUP®.

8.3.  The First Runner-Up and the Second Runner-Up will receive trophies reflecting their positioning.

8.4.  The three (3) highest ranked Semi-Finalists from each Semi-Final will receive medals reflecting their positioning (gold, silver and bronze, respectively).

8.5.  All Artists selected to attend The Live Finals will receive a medal reflecting that achievement.

8.6.  All Artists selected to attend the Academy Mentorship Program will receive a medal reflecting that achievement.

8.7.  Promoter reserves the right to award additional prizes, including but not limited to prizes in the following categories: best vocalist; best composer; best songwriter; best performer; best instrumentalist.

8.8.  Prizes are subject to availability. Promoter reserves the right to change the prizes and/or replace any or all prizes.

8.9.  All prizes are non-negotiable and non-transferable.

9. SELECTED ARTIST OPPORTUNITIES

9.1. In addition to substantial media exposure, all Artists selected to participate in The Live Finals will receive consideration for various opportunities within the music and entertainment industries, including by way of example only: a recording contract; participation in a music video; participation in a compilation album; appearances at MUSIC WORLD CUP® events; participation in the MUSIC WORLD CUP® Academy (to receive additional coaching from relevant industry professionals); participation in the MUSIC WORLD CUP® Ambassadorship Program (as a spokesperson and representative for future MUSIC WORLD CUP® competitions); sponsorship; brand endorsements; bookings for events and festivals.

10. JUDGING CRITERIA AND SELECTION OF WINNERS

10.1.  As described in more detail in Clause 2 above, the advancement of Artists through each of the three (3) rounds of the Competition is based on a different combination of factors depending on the round. Across the Competition as a whole, the relevant factors include without limitation votes received via the Competition Website, user interaction with Artists’ music on the Competition Website, scores received from Mentors and participation of the live audience at the live shows. Although the advancement of Artists is based on a different combination of factors depending on the round, the method and factors used to decide advancement at any one stage of the Competition will be applied consistently across all Artists at that stage.

10.2.  Where scores received from Mentors are a relevant factor, the Mentors’ scores will be based on criteria including but not limited to musical achievement. In assessing musical achievement, Mentors will consider the vocal and/or instrumental skills of the Artists and the creativity, originality, individuality and impact of their performance(s).

11. WINNER ANNOUNCEMENT AND NOTIFICATION

11.1.  The National Winners will be announced on or about twenty four (24) hours following the closing date of the National Online Round (“First Announcement Date”) via the Competition Website and via such other means as Promoter shall deem appropriate, in its sole discretion.

11.2.  Promoter will contact the National Winners personally as soon as practicable after the First Round Announcement Date, using the telephone numbers and/or email addresses and/or social media information provided by those Artists when they registered on the Competition Website and/or such other means as Promoter shall deem appropriate, in its sole discretion.

11.3.  The Semi-Finalists will be announced on or about twenty four (24) hours following the closing date of the Academy Mentorship Program Round (“Second Announcement Date”) via the Competition Website and via such other means as Promoter shall deem appropriate, in its sole discretion.

11.4.  Promoter will contact the Semi-Finalists personally as soon as practicable after the Second Announcement Date, using the telephone numbers and/or email addresses and/or social media information provided by those Artists when they registered on the Competition Website and/or such other means as Promoter shall deem appropriate, in its sole discretion.

11.5.  The Grand Finalists will be announced on or about twenty four (24) hours following the closing date of the Semi-Finals (“Third Announcement Date”) via the Competition Website and via such other means as Promoter shall deem appropriate, in its sole discretion.

11.6.  Promoter will contact the Grand Finalists personally as soon as practicable after the Third Announcement Date, using the telephone numbers and/or email addresses and/or social media information provided by those Artists when they registered on the Competition Website and/or such other means as Promoter shall deem appropriate, in its sole discretion.

11.7.  The Overall Winner will be announced on or about twenty four (24) hours following the closing date of the Grand Final (“Final Announcement Date”) via the Competition Website and via such other means as Promoter shall deem appropriate, in its sole discretion.

11.8.  Promoter will contact the Overall Winner personally as soon as practicable after the Final Announcement Date, using the telephone number(s) and/or email address(es) and/or social media information provided by that Artist when registering on the Competition Website and/or such other means as Promoter shall deem appropriate, in its sole discretion.

11.9.  The decision of Promoter is final as to all Selected Artists and no correspondence or discussion will be entered into.

12. WINNERS’ LIST / RULES REQUEST

12.1.  For the names of the National Winners, Semi-Finalists, Grand Finalists and the Overall Winner, please visit the Competition Website at the appropriate time.

13. DISQUALIFICATION

13.1. At any time during the Competition, Promoter reserves the right in its sole discretion to disqualify and remove any Artist for any failure to observe these Competition Rules or the terms of use or where applicable any other kind of illegal or inappropriate behaviour, including but not limited to where Artist’s conduct is contrary to the spirit or intention of the Competition; Artist’s behaviour during the Competition or any related activities at any point is disruptive, may or does cause damage to person, property or the reputation of Promoter; Artist provides false information to Promoter; or Artist exhibits unsportsmanlike conduct. In the event that a Selected Artist is disqualified, that Artist’s right to participate further in the Competition and/or that Artist’s prize (where applicable) will be forfeited and may be awarded to an alternate Artist. No refund of any costs incurred in relation to the Competition will be granted to any disqualified Artist for any reason. Artists disqualified from the Competition will be removed from the official results.

14. EVIDENTIARY VALUE

14.1. These Competition Rules set forth the rights and obligations of Users and are legally binding. Therefore, Users expressly show their agreement to the Competition Rules by clicking the designated terms of use acceptance box. The agreement is legally binding as soon as User clicks the submit box on registration. The parties (Promoter and Artist) agree that they may exchange by e-mail the information they require to perform the agreement. Any e-mails exchanged between the parties shall be deemed to have the same evidentiary value as a written hard copy document.

15. GENERAL

15.1.  Promoter reserves the right, at its sole discretion, to modify, amend, extend, suspend, cancel or hold void the Competition without responsibility and liability for any amount or kind of loss or damage that may result to any Artist or any third party (whether direct or indirect).

15.2.  Promoter shall not be liable for any costs incurred in connection with the Competition entry process (including any costs incurred in connection with the recording of an Entry).

15.3.  No travel or other costs will be reimbursed by Promoter for participation in the Competition except where expressly mentioned in the terms of use or elsewhere on the Competition Website or where agreed to by Promoter in writing.

15.4.  Promoter reserves the right to remove Artists from the Competition with immediate effect if they are or become of unsound mind for the purposes of performing their obligations under the terms of use due to psychiatric or mental illness.

15.5.  The Competition is void in whole or in part where prohibited, restricted or regulated by law.

15.6.  If any provision of these Competition Rules is adjudged by a court to be void or unenforceable such provision shall in no way affect any other provisions of these Competition Rules, the application of the provision in any other circumstances or the validity or enforceability of these Competition Rules and such provision shall be curtailed and limited only to the extent necessary to bring it within legal requirement.

16. APPLICABLE LAW

16.1. Please note that these terms of use, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have non-exclusive jurisdiction. If you are resident in a place outside of England and Wales you may bring proceedings in the place where you are resident.

PLEASE READ THIS ACCEPTABLE USE POLICY CAREFULLY BEFORE USING THE MUSIC WORLD CUP® SITE AND/OR PARTICIPATING IN ANY WAY IN THE MUSIC WORLD CUP® INTERNATIONAL MUSIC TALENT COMPETITION

This Acceptable Use Policy sets out the terms between you and us under which you may access our site and/or platform and/or services, and/or participate in any way in the MUSIC WORLD CUP® Competition, including via our website www.musicworldcup.com (“our site”). This Acceptable Use Policy applies to all users of, and visitors to, our site.

Your use of our site means that you accept, and agree to abide by, all the policies in this Acceptable Use Policy.

This Acceptable Use Policy should be read together with our User Agreement and all documents referred to in it (including the Competition Rules, Privacy Policy, and Cookies Policy) (collectively referred to as our “terms of use”).

1. PROHIBITED USES

1.1. You may only use our site for lawful purposes. You may not use our site:

(f)  To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

1.2. You also agree:

(a)  Not to reproduce, duplicate, copy or re-sell any part of our site in contravention of the provisions of our terms of use.

(b)  Not to access without authority, interfere with, damage or disrupt:

(i)  any part of our site;

(ii)  any equipment or network on which our site is stored;

2. INTERACTIVE SERVICES

(“interactive services”).

2.2.  Where we do provide any interactive service, we will provide clear information to you about the kind of service offered, if it is moderated and what form of moderation is used (including whether it is human or technical).

2.3.  We will do our best to assess any possible risks for users (and in particular, for children) from third parties when they use any interactive service provided on our site, and we will decide in each case whether it is appropriate to use moderation of the relevant service (including what kind of moderation to use) in the light of those risks. However, we are under no obligation to oversee, monitor or moderate any interactive service we provide on our site, and we expressly exclude our liability for any loss or damage arising from the use of any interactive service by a user in contravention of our content standards, whether the service is moderated or not.

2.4.  The use of any interactive services on our site by a minor is subject to the consent of their parent or guardian. We advise parents who permit their children to use an interactive service that it is important that they

3. CONTENT STANDARDS

3.1.  These content standards (“Content Standards”) apply to any and all material and/or data and/or information which you contribute to or via our site and to any services associated with it or as part of the Competition (“contributions”).

3.2.  You must comply with the spirit and the letter of the following standards. The standards apply to each part of any contribution as well as to its whole. In particular, these standards apply to any material and/or information provided as part of the Competition.

3.3.  Contributions must:

(a)  Be accurate (where they state facts).

(b)  Be genuinely held (where they state opinions).

(c)  Comply with applicable law in the UK and in any country from which they are posted.

3.4 Contributions must not:

(a)  Contain any commercial content or spam.

(b)  Contain any material which is defamatory of any person.

(c)  Contain any material which is obscene, offensive, hateful or inflammatory.

(d)  Contain or promote obscene or sexually explicit material.

(e)  Contain or promote violence.

(f)  Contain or promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

(g)  Infringe any copyright, database right or trade mark of any other person.

(h)  Be intended to and/or likely to deceive any person.

(i)  Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.

(j)  Contain or promote any illegal activity.

(k)  Be threatening, abusive; abuse or invade another’s privacy; or cause or be likely to cause annoyance, inconvenience or needless anxiety.

4. SUSPENSION AND TERMINATION

4.1.  We will determine, in our discretion, whether there has been a breach of this Acceptable Use Policy through your use of our site and/or your participation in the Competition (whether as an Artist or Voter or otherwise).

4.2.  Failure to comply with this Acceptable Use Policy constitutes a material breach of the terms of use under which you are permitted to use our site, and we reserve the right in our absolute discretion to take action as we deem appropriate which may include all or any of the following actions:

(a)  Immediate, temporary or permanent withdrawal of your right to use our site.

(b)  Immediate, temporary or permanent removal of any posting or material or content (including User Content and/or Entries) uploaded by you to our site, as applicable.

(c)  Issue of a warning to you.

(d)  Disabling your account.

(e)  Disqualifying you from the Competition (if applicable).

(f)  Removing, cancelling or reversing any MUSIC WORLD CUP® credits, votes and/or voting privileges.

(g)  Putting in place technical and/or legal steps to prevent you from using our site and/or participating in the Competition or future MUSIC WORLD CUP® competitions or activities in any way.

(h)  Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.

(i)  Further legal action against you.

(j)  Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

4.3. We exclude liability for actions taken in response to breaches of this Acceptable Use Policy. The responses described in this Policy are not limited, and we may take any other action we deem appropriate in our absolute discretion.
